Article 1: Contract – Scope

These general affiliate terms and conditions (hereinafter referred to as GATCs) apply exclusively to the current and future commercial relations between SAS Natural Mystic Shop France Diffusion, a company registered with the RCS of Vesoul, ("we", Natural Mystic Shop, its brand Shamballa® or "the Affiliator"), publisher and operator of the website www.shamballa-shilajit.com, hereinafter referred to as "the Affiliator", and any natural or legal person creating an Affiliate account on the website www.shamballa-shilajit.com, hereinafter referred to as "the Affiliate". The Affiliate adheres to these GATCs, without restriction or reservation, by the simple act of registering for our Ambassador program on the website http://www.shamballa-shilajit.com. If the user of this affiliate service does not accept these GATCs, they are asked not to use the services offered by the Affiliator. The Affiliate can consult the GATCs easily, freely and at any time on the Affiliator's website. The term 'Ambassador' is a marketing designation for the program. It does not imply any mandate, any exclusivity, and does not confer any power to negotiate, conclude or commit the Affiliator. The Affiliate is neither a commercial agent within the meaning of Article L134-1 of the French Commercial Code, nor an agent. Their mission is not to negotiate or conclude contracts in the name and on behalf of the Affiliator.

Article 2: Registration for the affiliate program

To become a member of the affiliate program, you must complete the Affiliate application form available on the website www.shamballa-shilajit.com at https://www.shamballa-shilajit.com/pages/club-shamballa. The Affiliator reserves the right to accept or reject any affiliate application, without having to justify this decision. The Affiliator reserves the right at any time, without compensation and without having to justify its decision, to suspend or delete links or even the Affiliate's account if the latter does not respect the image of Natural Mystic Shop, its brand SHAMBALLA® or does not respect its commercial principles.

Article 3: Spam

The Affiliator will not tolerate or endorse spam. Any Affiliate actively engaged in spamming will be removed from the Program. Commission will not be paid if it results from or is linked to spamming. Affiliates are not permitted to conduct eDM (email direct marketing) communications advertising the SHAMBALLA brand. Unauthorized eDM communications include, but are not limited to, unsolicited emails (spam), advertising spamming, or IP address spoofing.

Article 4: Keywords

Affiliates are not permitted to purchase domains including variants or similar spellings of SHAMBALLA, NOR to use keywords or key phrases including variants or similar spellings of shamballa-shilajit, including but not limited to, keywords containing "Shamballa", in any form whatsoever, from a pay-per-click search engine. Affiliates may not include 'SHAMBALLA' (or variants/similar spellings) in the name, ID, @handle or URL of a social media account/page/group, without prior written agreement. This must not create any confusion with an official account. Affiliates are also not permitted to use SHAMBALLA trademarks or any variant or similar spelling of Shamballa in URLs. This includes, but is not limited to, the following search engines: Google, MSN, Yahoo!, Bing and Ask. Affiliates are not permitted to use "brand terms + generic terms" combinations to obtain preferential referencing on search engines, directories or other types of online databases including, but not limited to, Google, Yahoo!, MSN, Bing and Ask. If the Affiliate has any doubt about what is permitted or not by the Conditions, it is their responsibility to seek advice from the Natural Mystic Shop account manager. The Affiliate acknowledges the risks of Google's broad/extended match functionality and that the Company strongly recommends that the Affiliate includes the terms "Shamballa" and "www.shamballa-shilajit.com" as negative keywords in all campaigns to avoid the risk of appearing on Shamballa brand terms. All clicks must first land on the Affiliate's website, and the website user must click from the Affiliate's website, blog or social network to www.shamballa-shilajit.com. Clicks should never land directly on www.shamballa-shilajit.com. Overlays and masked URLs are NOT permitted. The Affiliate is not permitted to place banners or links in unsolicited emails, unauthorized posts on discussion groups, forums or by using "bots". Illegally generated traffic will not be subject to commissions. The Affiliate is not permitted to bid on or use Shamballa trademarks to obtain preferential referencing on search engines, directories or any other type of online database. The Affiliate acknowledges that the Company continuously monitors activity on search engines, including Google, Yahoo!, Bing and MSN. The Affiliate undertakes not to create confusion in the minds of users between the SHAMBALLA website and those of the French administration.

Article 5: Advertising content

The Affiliate agrees to cooperate fully with the Affiliator regarding the use and maintenance of links and other promotional tools provided by the Affiliator. The Affiliator provides the Affiliate with an order tracking tool in the form of a link. This link allows Internet users to be redirected to the Affiliator's website and subscribe to offers. This link also allows for the electronic tracking of Internet users' actions on the Affiliator's website, particularly purchases. In return for purchases made on www.shamballa-shilajit.com, the Affiliator remunerates the Affiliate based on a commission on sales made through these links. The Affiliate may use as many affiliate links as desired on the website(s) submitted for the Affiliator's approval. In addition, the Affiliate agrees to: Use the complete code for banners, links and other promotional tools (including the tracking codes they contain) and not to modify or delete any part of the code in any way; Use only the graphic or textual images provided by the Affiliator on the Affiliate's website(s); Update these images with new images provided by the Company, or by the Affiliate Network Provider on behalf of the Affiliator; Display these graphic and/or textual images visibly in the relevant sections of the Affiliate's website(s); Display only graphic and/or textual images in compliance with any notified durations and ensure that they are no longer displayed after the expiration of any promotional periods related to these graphic and/or textual images; Not to copy or reproduce in a similar way the appearance of the Shamballa website and not to lead users to believe that their website represents the Company and/or the Shamballa activity; and Not to misrepresent or embellish the relationship between themselves and our company;

Article 6: Accounting and payment of Commissions

The amount of the affiliate's commissions is set between the Affiliator and the Affiliate. Orders placed by the Affiliate do not give rise to commissions. Only firm orders, meaning those that have not been refunded within 30 days, will be counted for the payment of commissions. Any shipping costs for orders are not included in the commission calculation. Refunded or cancelled orders will not be counted.

Commissions will be paid every three (3) months, by bank transfer, cheque or PayPal, upon presentation of an invoice issued by the Affiliate in the name of the Affiliator. Payment is made only upon presentation of an invoice issued by the Affiliate (registered professional). In the absence of a proper invoice, no sum is due and payment is made in the form of purchase vouchers on the www.shamballa-shilajit.com website.

Invoices will be paid no later than 30 days from their receipt. Tax and social declarations are the responsibility of the Affiliate to comply with the laws in force in their country. Any exchange fees are the responsibility of the Affiliate.

Commissions, at the express request of the affiliate, can also be converted in whole or in part into purchase vouchers on the Shamballa website. For partners unable to issue invoices, the default payment method will be "store credit", i.e. purchase vouchers.

Article 7: Technical means – Fraud

The Affiliate acknowledges the Affiliator's full ability to evaluate sales and calculate commissions through the Shamballa affiliate system. The Affiliator will count the firm orders necessary to determine the commissions. The Affiliate will have real-time access to their statistics (clicks, conversions, payment) from the affiliate section of the website www.shamballa-shilajit.com. The Affiliator is available to the Affiliate for any questions regarding statistics. Any attempt at fraud will result in the immediate and definitive closure of the Affiliate's account and the non-payment of sums due. An email with acknowledgment of receipt will confirm this closure.

Article 8: Contract duration – Termination

The contract between the Affiliate and the Affiliator is concluded for a period of three (3) months. It will be renewed by tacit agreement. Either party may terminate it after sending an email with acknowledgment of receipt, at any time and as of right, without compensation.

Article 9: Retention of title

All elements (texts, photos, slogans, technical elements, etc.) made available to the affiliate remain the property of the Affiliator. Likewise, contact details and information concerning customers originating from the Affiliate are the exclusive property of the Affiliator. The Affiliate has no rights to this data of any kind and may not under any circumstances claim ownership. Any fraudulent use for commercial purposes may be subject to prosecution.

Article 10: Website modification

Any change in the site's name, as well as any change in its hosting location, size, purpose, or update frequency, will have no effect on the affiliation contract, which will apply automatically and as of right. The contract covers all hosting locations, purposes, and size of this site, present or future.

Article 11: Personal data protection

All personal data that the Affiliate entrusts to the Affiliator is for the purpose of managing the affiliation. The Affiliate has a right to access, rectify and delete data concerning them. To exercise this right, they must write to contact@shamballa-shilajit.com. By adhering to the GATCs, the Affiliate acknowledges having read this personal data protection policy and consents to the Affiliator collecting and using this data.

Article 12: Liabilities

Natural Mystic Shop or Shamballa cannot be held responsible for the non-performance of the concluded contract in the event of force majeure. Natural Mystic Shop cannot be held responsible for damages other than those caused directly by it. In no case will Natural Mystic Shop be liable to compensate the Affiliate for a loss of operation, profit or opportunity. The Partner acts in complete independence, freely organizes their actions, without exclusivity, without fixed hours or obligation of results. They do not receive any hierarchical instructions and have no power to represent or commit the Company. Remuneration is exclusively proportional to attributed sales.

Article 13: Communication/allegation compliance

The Affiliate is prohibited from making any illegal, misleading, medical, or unauthorized allegations. They must comply with advertising/consumer regulations and transparency rules in the case of sponsored content.

Article 14: Settlement of eventual disputes

These general affiliation terms and conditions are governed by and interpreted in accordance with French law. In the event of a dispute concerning the interpretation or execution of the Affiliation program, the dispute shall, in the absence of an amicable agreement, fall under the exclusive jurisdiction of the competent courts of Vesoul, France. The Affiliator is available by phone or email to attempt to resolve any dispute with the Affiliate amicably.
