Article 1: Contract – Scope of application

These general conditions of affiliation (hereinafter referred to as GTC) apply exclusively to the present and future commercial relations existing between SAS Natural Mystic Shop France Diffusion, a company registered with the Vesoul Trade and Companies Register (“we”, Natural Mystic Shop, its Shamballa® brand or “the Affiliate”), publisher and operator of the website www.shamballa-shilajit.com, hereinafter referred to as “the Affiliate”, and any natural or legal person creating an Affiliate account on the website www. shamballa-shilajit .com , hereinafter referred to as “the Affiliate”. The Affiliate adheres to these GTC, without restriction or reservation, by the simple fact of registering for our Ambassador program on the website http:// www. shamballa-shilajit .com . If the user of this affiliate service does not accept these General Terms and Conditions, they are requested not to use the services offered by the Affiliate. The Affiliate may simply, freely and at any time consult the General Terms and Conditions on the Affiliate's website.

Article 2: Registration for the affiliate program

To become a member of the affiliate program, you must complete the Affiliation application form available on the website www. shamballa-shilajit .com at the address https:// www. shamballa-shilajit .com /pages/club-shamballa. The Affiliate reserves the right to accept or reject any affiliation application, without having to justify this decision. The Affiliate reserves the right at any time, without compensation and without having to justify its decision, to suspend or delete the links or even the Affiliate's account if the latter does not respect the image of Natural Mystic Shop, its SHAMBALLA® brand or does not respect its business principles.

Article 3: Spam

The Affiliate does not tolerate or endorse spam. Any Affiliate actively engaged in spamming will be removed from the Program. Commissions will not be paid if they result from or are related to spamming. Affiliates are not permitted to conduct eDM (e-mail direct marketing) communications advertising the SHAMBALLA brand. Unauthorized eDM communications include, but are not limited to, unsolicited emails (spam), advertising spam, or IP spoofing.

Article 4: Keywords

Affiliates are not permitted to purchase domains that include variations or close spellings of SHAMBALLA, nor are they permitted to use keywords or key phrases that include variations or close spellings of shamballa-shilajit, including but not limited to keywords containing "Shamballa" in any form, from any pay-per-click search engine. Affiliates are also not permitted to use SHAMBALLA trademarks or any variations or close spellings of Shamballa in URLs. This includes, but is not limited to, the following search engines: Google, MSN, Yahoo!, Bing, and Ask. Affiliates are not permitted to use "branded + generic" combinations to obtain preferential listings on search engines, directories, or other types of online databases, including but not limited to Google, Yahoo!, MSN, Bing, and Ask. If the Affiliate is in doubt about what is or is not permitted under the Terms, it is their responsibility to seek advice from the Natural Mystic Shop account manager. The Affiliate acknowledges the risks of Google's expanded/broad matching feature and that the Company strongly recommends that the Affiliate include the terms "Shamballa" and " www. shamballa-shilajit .com " as negative keywords in all campaigns to avoid the risk of appearing on Shamballa's trademarked terms. All clicks must first land on the Affiliate's website, and the website user must click from the Affiliate's website, blog, or social media channel to www. shamballa-shilajit .com . Clicks must never land directly on www. shamballa-shilajit .com . Overlays and cloaked URLs are NOT permitted. The Affiliate is not authorized to place banners or links in unsolicited emails, unauthorized postings on newsgroups, forums, or by using "bots." Illegally generated traffic will not be subject to commissions. The Affiliate is not authorized to bid on or use Shamballa trademarks to obtain preferential listings on search engines, directories, or any other type of online database. The Affiliate acknowledges that the Company continuously monitors activity on search engines, including Google, Yahoo!, Bing, and MSN. The Affiliate undertakes not to create confusion in the minds of users between the SHAMBALLA website and those of the French administration.

Article 5: Advertising content

The Affiliate agrees to cooperate fully with the Affiliate regarding the use and maintenance of links and other promotional tools provided by the Affiliate. The Affiliate provides the Affiliate with an order tracking tool embodied by a link. This link allows Internet users to be redirected to the Affiliate's website and subscribe to offers. This link also allows the actions of Internet users on the Affiliate's website to be tracked electronically, including purchases. In return for purchases made on www.shamballa-shilajit.com , the Affiliate remunerates the Affiliate on the basis of a commission on sales made through these links. The Affiliate may use as many affiliate links as it wishes on the site(s) that it submits to the Affiliate for approval. In addition, the Affiliate agrees: To use the full code for banners, links and other promotional tools (including tracking codes contained therein) and not to modify or delete any part of the code in any way; To use on the Affiliate's website(s), only display graphical or textual images provided by the Affiliate; To update these images with new images provided by the Company, or by the Affiliate Network Provider on behalf of the Affiliate; To display these graphical and/or textual images prominently in the relevant sections of the Affiliate's website(s); To only display the graphical and/or textual images in accordance with any notified durations and ensure that they are no longer displayed after the expiry of any promotional periods linked to these graphical and/or textual images; Not to copy or reproduce in any way the appearance of the Shamballa website and not to lead users to believe that its website represents the Company and/or the Shamballa business; and Not to falsely present or embellish the relationship between itself and our company;

Article 6: Accounting and payment of Commissions

The amount of the affiliate's commissions is set between the Affiliate and the Affiliate. Orders placed by the Affiliate do not give rise to commissions. Only firm orders, i.e. those that have not been refunded within 30 days, will be counted for the payment of commissions. Any shipping costs for orders are not included in the calculation of the commission. Users who have been refunded or have canceled their order cannot be counted. Commission payments will be made every three (3) months, by bank transfer, check or PayPal, upon presentation of an invoice issued by the Affiliate in the name of the Affiliate. Invoices will be paid no later than 30 days from their receipt. Tax and social security declarations are the Affiliate's responsibility in order to comply with the laws in force in their country. Any exchange fees are the responsibility of the Affiliate.

Commissions, at the affiliate's express request, can also be converted into vouchers on the Shamballa website. For non-professional partners who cannot invoice, the default payment method will be "store credit," i.e., vouchers.

Article 7: Technical means – Fraud

The Affiliate acknowledges the Affiliate's full ability to evaluate sales and calculate commissions through the Shamballa affiliate system. The Affiliate will count the firm orders necessary to determine commissions. The Affiliate will have real-time access to its statistics (clicks, transformations, payment) from the affiliate section of the website www.shamballa-shilajit.com . The Affiliate is available to the Affiliate for any questions regarding statistics. Any attempt at fraud will result in the immediate and permanent closure of the Affiliate's account and non-payment of amounts due. An email with acknowledgment of receipt will confirm this closure.

Article 8: Duration of the contract – Termination

The contract between the Affiliate and the Affiliate is concluded for a period of three (3) months. It will be renewed by tacit agreement. Either party may terminate it by sending an email with acknowledgment of receipt, at any time and automatically, without compensation.

Article 9: Reservation of ownership

All elements (texts, photos, slogans, technical elements, etc.) made available to the affiliate remain the property of the Affiliate. Similarly, contact details and information concerning customers from the Affiliate are the exclusive property of the Affiliate. The Affiliate has no rights to this data of any type and may not under any circumstances claim ownership. Any fraudulent use for commercial purposes may be subject to prosecution.

Article 10: Modification of the site

Any change in the name of the site, as well as any change in its hosting location, size, purpose, or update frequency, will have no effect on the affiliation contract, which will apply automatically and automatically. The contract covers all hosting locations, purpose, and size of this site, whether present or future.

Article 11: Protection of personal data

All personal data that the Affiliate entrusts to the Affiliate is provided in order to manage the affiliation. The Affiliate has the right to access, rectify and delete data concerning him. To exercise this right, he must write to the address contact@shamballa-shilajit.com . By adhering to the General Terms and Conditions, the Affiliate acknowledges having read this personal data protection policy and consents to the Affiliate collecting and using this data.

Article 12: Responsibilities

Natural Mystic Shop or Shamballa shall not be held liable for non-performance of the contract concluded in the event of force majeure. Natural Mystic Shop shall not be held liable for damages other than those caused directly by it. Under no circumstances shall Natural Mystic Shop be required to compensate the Affiliate for any loss of business, profit, or opportunity.

Article 13: Settlement of possible disputes

These general terms and conditions of Affiliation are governed by and interpreted in accordance with French law. In the event of a dispute regarding the interpretation or execution of the Affiliation program, the dispute will, failing an amicable agreement, fall under the exclusive jurisdiction of the competent courts of Vesoul, France. The Affiliate is available by telephone or email to attempt to resolve any dispute with the Affiliate amicably.
